Telcordia Sells AirBoss to Geoworks

Geoworks Corp. (Alameda, CA) has reached an agreement to acquire AirBoss Wireless Systems from Telcordia Technologies Inc. (Morristown, NJ), an SAIC company. AirBoss Wireless Systems encompasses a suite of patented mobile communications software products and consulting services that provide enhanced wireless access to corporate data over a wide variety of wireless networks and computing devices. Both parties expect the deal to close within the next 30 days, subject to due diligence, definitive documentation, and private and regulatory consents customary to this type of transaction.

The acquisition will give Geoworks ownership of the developed AirBoss products, which have been deployed in numerous customer solutions around the world. Also, the company will acquire engineering and marketing forces, as well as five key wireless data patents, which will complement its recently launched intellectual property licensing program.

Geoworks plans to integrate AirBoss' wireless technology and services into its line of mobile communications products, including Mobile ASP, Geoworks' mobile communications solution for enterprise clients and Mobile Site, which allows any business to mobilize its existing Web content for any mobile device affordably and quickly.

According to Dave Burns, Telcordia acting group president of professional services, Telcordia will continue to use and deploy the AirBoss technology, and Geoworks will call upon the company for systems integration expertise.
